Lotus’s Malaysia set to acquire Village Grocer, B.I.G., The Food Merchant and more

SHAH ALAM – Lotus’s Malaysia has announced plans to acquire The Food Purveyor Sdn Bhd, the operator of premium supermarket chains including Village Grocer, B.I.G., BSC Fine Foods, OTK and The Food Merchant.

In a statement on Wednesday, Lotus’s Stores (Malaysia) Sdn Bhd, a subsidiary of CP Axtra Public Company Limited (CPAXT), said it had entered into an agreement to acquire 100 per cent of The Food Purveyor’s issued and paid-up share capital.

The proposed acquisition involves a total investment of RM1.66 billion and covers a network of 50 premium supermarket outlets nationwide.

According to the company, the move is part of its strategy to strengthen its retail footprint in Malaysia and expand into the premium grocery segment.

“The proposed acquisition reflects the Company’s strong commitment to expanding its strategic investments in high-potential international markets,” the statement said.

With the acquisition, CP Axtra’s retail network in Malaysia would expand significantly. Combined with 70 existing Lotus’s outlets, the group would operate 120 stores nationwide, allowing it to serve a broader range of customers.

The company said the acquisition would also help it tap into high-income urban markets, as many of The Food Purveyor’s outlets are located in prime areas and affluent neighbourhoods.

“Lotus’s brings extensive capabilities in large-scale supermarket and hypermarket network management, while The Food Purveyor specialises in premium retail, enhancing growth potential across all purchasing power segments,” the statement added.

The transaction is expected to be completed in the fourth quarter of 2026, subject to approvals from relevant regulatory authorities.

CP Axtra said the investment forms part of its long-term regional expansion strategy aimed at strengthening sustainable growth and positioning the group as a leading wholesale and retail operator in the region.
